Indemnification:
Customer acknowledges that the information it receives from Dash Research is compiled by Dash Research from numerous data sources and vendors and that the customer has been allowed access to the information because of its representations of its authorized use of this data. Customer shall indemnify, defend, and hold harmless Dash Research and its data providers and vendors from and against all liabilities, damages, losses, claims, costs, fees and expenses, including attorney fees arising out of or related to customer’s use of the information obtained from Dash Research. Dash Research is entitled to enforce the data security, use, legal compliance and indemnification provisions of its data providers and vendors directly against customer.
Certification of Proper Use:
By using Dash’s services or data, Customer certifies that they are obtaining the requested information for a proper (permissible) purpose, and will use the information only for proper and legal purposes. The misuse of reported information may be construed as a complete breach of this agreement and may result in Dash Research seeking legal and equitable relief as necessary. Dash Research is not responsible for the misuse of reported information.
No Warranty As To The Accuracy Of Provided Information:
Dash Research compiles reports using information obtained from numerous, reliable data sources and vendors. Although, Dash Research does take reasonable measures to ensure the reported information is current and accurate, no warranties of any kind are given. Furthermore, persons and businesses often have same or similar names as other persons and businesses, thus misidentification is possible. It is imperative that the customer verifies information before relying on or taking adverse actions based upon reported information.
Disclosure To Third Parties:
Dash Research reports are intended for use by the Customer only. Disclosure of reported information to others is prohibited under this agreement.
No Legal Advice:
Nothing on this website, or any reports or oral communications transmitted to Dash Customers is intended to be, nor does it constitute legal advice. No attorney-client relationship is formed. Customer is responsible for determining whether receipt or use of reported information is legal in their particular jurisdiction.
Limitation of Liability:
Dash Research is not liable for any loss, injury, claim, liability or damage of any kind resulting from customer’s use of this website, or the use of any information provided within reports. Furthermore, by placing an order with Dash, Customer agrees that Dash’s total liability shall not exceed $3,000.00 or the invoice amount, whichever is less.
Remedies for Violations:
Dash Research reserves the right to seek all remedies available at law and in equity in order to enforce this Terms of Use.
Governing Law and Jurisdiction:
The Terms of Use are governed by and construed in accordance with the laws of the State of Nevada. The parties hereby agree that any action arising out of or relating to these terms, or from the business relationship between the parties shall be filed only in the State or Federal Courts located in Nevada. By this Agreement the parties hereby consent and submit to the personal jurisdiction of such courts for the purpose of litigating any action.
Severability of Provisions:
These Terms of Use incorporate by reference any notices contained on the Website, the Privacy Policy and constitute the entire agreement. If any provision of these Terms of Use is unlawful, void or unenforceable, or conflicts with the Provider Services Terms then that provision shall be deemed severable from the remaining provisions and shall not affect their validity and enforceability.
